The following terms apply exclusively to wholesale and import orders.

1. PAYMENT TERMS & DEPOSIT

All wholesale orders require a standard payment structure to initiate processing and logistics:

• Initial Deposit: A 50% non-refundable deposit is required to confirm and initiate your order. This deposit secures your material selection from Brazil and is used to cover initial international shipping costs and freight booking.

• Final Balance: The remaining 50% balance, plus any applicable final domestic trucking costs and taxes, is due upon arrival of the material at the designated US port of entry and prior to final release and delivery to your site.

• Method: Payments must be made via Wire Transfer (ACH or Domestic) or an approved B2B payment method.

2. CANCELLATIONS & DEPOSIT REFUNDS

Wholesale stone orders involve complex logistics and are often cut or prepared specifically for the client.

• Order Confirmation: Once the 50% deposit is received, the order is considered confirmed.

• Non-Refundable Deposit: The initial 50% deposit is non-refundable. Since this deposit is immediately used to fund international shipping and material allocation in Brazil, it cannot be recovered. By placing a deposit, the client accepts this term.

3. IMPORTATION & SHIPPING RESPONSIBILITY

For full transparency, the client acknowledges the following responsibilities:

• International Freight (Paid by Deposit): The cost for sea freight from Brazil to the designated US port is covered using the client’s initial 50% deposit. Imperial Stone USA manages the booking and logistics for this leg of the journey.

• Shared Responsibility Point: While Imperial Stone USA manages the importation process, the client’s deposit directly funds the shipping. Therefore, in the extremely rare and unforeseen event of a total loss or significant damage during international sea transit (Force Majeure events at sea), the responsibility is shared as the shipping was funded by the client’s non-refundable deposit.

• Final Domestic Delivery: Final trucking from the US port to the client’s job site is not included in the material cost and will be calculated and invoiced separately. This is a separate charge from the international freight already funded.

4. CLAIMS & INSPECTION AT PORT ARRIVAL

Because natural stone is heavy and fragile, special procedures must be followed for claims:

• Final Inspection: Clients or their appointed representatives have the right and are encouraged to inspect the material upon its arrival at the US port of entry.

• Claim Window: Any claims for significant visible damage must be submitted in writing prior to the material being loaded onto the final truck for domestic delivery. Once the material leaves the port, Imperial Stone USA is no longer responsible for in-transit damages.

• Nature of Product: Claims for minor or natural imperfections (such as small pits, fissures, or minor shading variations) that are characteristic of natural stone are not eligible for claims.

5. MATERIAL VARIATIONS (NATURAL STONE)

Natural stone materials are unique geological formations.

• The client acknowledges that samples and online photos are intended to be a representative example of the material type, but each slab, crate, or paver is unique. No two orders will be identical, and variations in pattern, color, and texture are inherent features of natural stone and not defects.
